We are looking for a Corporate Legal Counsel.

Your mission

  • comprehensive advice in company law for all internal clients of ENGIE within the Corporate Governance team - Restructuring of GBS Legal including in particular:
    • company law (including contract law): miscellaneous advice on special Operations (merger, demerger, distributions, etc.) relative to the legal entities (BE-Lux); independently and in coordination with the GBS Legal team and other departments (including Finance, tax, etc.)
    • legal watch: concrete summary of impacts related to recent legislative changes (Company law, Business law, Contract law, etc)
    • governance: handling social bodies (BoD/GM) of Belgian-Luxembourg subsidiaries of ENGIE; Leading the network (including the legal sector) in view of responding to legal constraints, internal procedures and needs of partners
    • compliance (UBO, Crossroad Bank of enterprise, solicitors, etc.): coordinating paralegals on specific formalities (banks, National Social Security Office, VAT, etc.) and miscellaneous legalisations (via Ministries, Embassies, Consulates, etc.); contacts with law firms, auditors, administrations
    • digitising/automation: digital tools (Microsoft 365, Sharepoint, Teams, etc.)
    • contributions to the internal development of GBS Legal with the BUs (marketing, network, etc.); organisation of customer seminars
  • stakeholders: internal (all GBS departments including Management Committee, all Corporate Managements and BUs at level of Management Committee and CLO) and external (lawyers, auditors, banks, etc.)

Your profile

  • holder of a Master's Degree in Law with specialisation on Business law/Company law
  • minimum 5 years of experience in company law (law offices, solicitor's offices, consulting, company legal counsel)
  • you will participate in the development of legal departments within the International Group
  • kritical thinking; self-reliant; team spirit; pragmatic; organised and rigorous
  • languages: Dutch, French, English
